Professional Association of Santa's Elves, Inc.
Bylaws Adopted March 6, 2000

ARTICLE I - NAME

The name of the association shall be called The Professional Association of Santa's Elves, Incorporated. The abbreviated version is PASE, Inc.

ARTICLE II - PURPOSE

The purpose for which this association was founded was to create an on-line environment in which to share ideas and educate those who devote themselves to writing Letters from Santa.

ARTICLE III - EXECUTIVE COMMITTEE

The Executive Committee shall consist of the following:

ARTICLE IV - DUTIES OF EXECUTIVE COMMITTEE

The members of the Executive Committee shall conduct, manage and control the affairs and business of the association in conjunction with the Board of Directors. The Executive Committee will have authority to make financial decisions and final decisions regarding PASE, Inc. Members of this committee will work hand in hand with Board of Directors and special committees, offering assistance whenever possible. Personnel issues regarding members will be the responsibility of the Executive Committee to vote on, inform and provide their vote tally to the Board of Directors with recommendations.

ARTICLE V - DUTIES OF PRESIDENT

The President shall attend all Board of Directors Meetings and special committee meetings, if required. The President is required to vote on all issues presented during board meetings or special committee meetings and shall be kept informed either by electronic mail or minutes of the meeting logs.

ARTICLE VI - DUTIES OF THE VICE PRESIDENT AND THE SECRETARY

The Secretary shall preside over all Board of Directors Meetings. In the event of his/her absence, the duty shall fall to the Vice President. The Vice President has the right to cancel a scheduled meeting until the Secretary is able to chair the meeting. If his/her decision is to cancel, it is his/her duty to notify all members of the Board of Directors or members of a special committee meeting via electronic mail. The Vice President will work hand in hand with the Board of Directors, the President and special committees. When items are scheduled for discussion, the Secretary will furnish an agenda. The agenda will be included in the notice of meeting, and will be sent via electronic mail. Meetings will be logged by the Secretary.

ARTICLE VII - BOARD OF DIRECTORS

The duty of each Board of Director member is to conduct, manage and control the affairs and business of PASE, Inc in conformity with these by-laws to benefit the majority of the members of The Professional Association of Santa's Elves, Incorporated. Failure to uphold strict confidentiality or failure to uphold the position you have accepted may be cause for removal from the Board of Directors. It is encouraged that a member willingly step down from such position if it becomes no longer possible to continue his or her duties. Every effort should be made by other members to assist, encourage or voluntarily fill in if assistance is needed.

Any member of the Board of Directors may be removed for the following reasons: demeanor unbefitting the good name of Santa Claus, demeanor that would cause harm to another person, PASE member, or the entity PASE, Inc.; demeanor of an untruthful nature; violating confidentiality; not honoring the Children's Online Privacy Protection Act of 1998. Instances of such behaviors include but are not limited to: publically discussing or otherwise distributing or disseminating the content of confidential meetings, chats, or e-mails conducted by the Board of Directors and/or Executive Committee; consistently failing to perform job requirements, including continually missing meetings, continual unwillingness or inability to volunteer for duties, consistently being unavailable or unwilling - without sufficient cause and notification to one or more Board Members - to provide input with regard to administrative discussions and/or voting.

Each member of the Board of Directors is obligated to attend board meetings. If it is a situation that is beyond your control, please notify the Secretary via e-mail. Board of Directors meet once a month, with the exception of December. Two-thirds of the majority is required for a vote to pass. Voting normally occurs during board meetings, but it is common to be required to submit a vote via electronic mail. Any Board of Director member has the privilege of requesting an emergency meeting by notifying the Secretary. In his/her absence, you may notify Ms. Pepe or Ms. Jewett. As a board member, if you receive a complaint regarding any member of PASE, Inc. the complaint must be furnished to the Executive Committee and all Board Members. The Executive Committee is obligated to meet, hear the complaint and decide action to be taken such as requesting a meeting with full board. In addition, it is required that the member who filed the complaint and accused member be present. In the event of an anonymous complaint, or a complaint from outside the membership, the written complaint will serve as the complaint. When the board members feel they have finished asking questions, the accused member will be asked to leave before voting on any action starts.

ARTICLE VIII - MEMBERSHIP

Membership in PASE, Inc. is classified as open membership. Any person who is dedicated to the purposes of this association, desires to put a smile on a child's face and who wishes to write children/adults using the good name of Santa shall be eligible for membership upon receipt of membership dues. Membership dues are set by the Board of Directors. Currently, membership dues are paid one time only, at the time of joining the organization.

The Executive Committee and the Board of Directors may disapprove, suspend, expel or terminate membership of any member for conduct which, in its opinion, is likely to be prejudicial to the welfare, interest, reputation or character of the association. This would be accomplished by a two-thirds majority vote.

Instances of such behaviors include but are not limited to: not honoring the Children's Online Privacy Protection Act of 1998; revealing or distributing to nonmembers the confidential password to the Members Only area of the PASE, Inc. website; collecting or harvesting the e-mail addresses of the membership in order to send unsolicited bulk e-mail (also known as spam); posting, publishing, or distributing PASE Inc. chat logs to nonmembers; appropriating or using materials copyrighted by PASE, Inc. for any purpose other than enhancing one's Santa Letters project. Such purposes include copying text, graphics, and/or other materials from the PASE Inc. website which are not designated for copying or downloading and subsequently posting, publishing, distributing, or selling them as one's own creations.

In addition, both current and former members of the Executive Committee, Board of Directors, and other appointed committees shall not publicly discuss or otherwise distribute or disseminate the content of confidential meetings, chats, or e-mails conducted by the Executive Committee, Board of Directors, and/or the appointed committees.
